GENERAL TERMS AND CONDITIONS OF SERVICE

1. DEFINITIONS

For the purposes of these Terms:

• "Account" means the user account you create to access the Services
• "Content" means text, images, photos, videos, routes, data, and other materials
• "User Content" means Content that you upload, post, or submit to the Services
• "Platform" means the epicride.ai website, mobile applications, and all related digital services
• "Services" means all features, functionalities, and services provided by epicride.ai
• "Third-Party Services" means services provided by entities other than epicride.ai (e.g., Google Maps, weather providers)

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age and License Requirements

To use epicride.ai, you must:

• Be at least 18 years of age
• Possess a valid motorcycle license issued by your jurisdiction
• Have the legal capacity to enter into binding contracts
• Comply with all applicable laws and regulations in your country of residence

2.2 Account Creation

When creating an Account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your Account information to keep it accurate and current
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your Account
• Accept responsibility for all activities that occur under your Account

2.3 Account Suspension and Termination

We reserve the right to suspend or terminate your Account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. You may terminate your Account at any time through the Settings interface.

3. PERMITTED USE OF SERVICES

3.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes related to motorcycle riding and navigation.

3.2 Permitted Activities

You may use the Services to:

• Plan motorcycle routes and receive navigation instructions
• Access weather forecasts and riding condition information
• Save and share routes with other users
• Participate in community features (posts, photos, reviews)
• Organize or join group rides
• List motorcycles, parts, or gear for sale in the marketplace
• Connect with other motorcyclists and share riding experiences

4. PROHIBITED USE AND CONDUCT

4.1 General Prohibitions

You agree NOT to:

• Use the Services while actively operating a motorcycle (pull over safely to interact with the app)
• Violate any applicable laws, regulations, or third-party rights
• Provide false, misleading, or fraudulent information
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Use any automated means (bots, scrapers, spiders) to access or collect data from the Services
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
• Circumvent or disable any security features or access controls
• Upload viruses, malware, or other malicious code
• Harvest or collect information about other users without their consent

4.2 Prohibited Content

You may NOT upload, post, or share User Content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful
• Contains nudity, pornography, or sexually explicit material
• Promotes violence, dangerous riding practices, or illegal activities
• Infringes intellectual property rights, privacy rights, or other rights of third parties
• Contains false or misleading marketplace listings
• Is spam, advertising, or promotional material (except legitimate marketplace listings)
• Contains personal information of others without their consent

4.3 Marketplace Specific Prohibitions

When using the marketplace features, you must NOT:

• List stolen, counterfeit, or illegal items
• Use photos that do not accurately represent the item being sold
• Misrepresent the condition, specifications, or history of items
• Engage in price manipulation, bid rigging, or other fraudulent practices
• Complete transactions outside the platform to avoid potential future fees
• Sell items you do not legally own or have authorization to sell

5. USER CONTENT AND INTELLECTUAL PROPERTY

5.1 Ownership of User Content

You retain all ownership rights to User Content you submit to the Services. However, by uploading User Content, you grant epicride.ai a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services.

5.2 Rights to Use User Content

By submitting User Content, you specifically grant us the right to:

• Display your photos, routes, and posts to other users
• Use your User Content in marketing materials, social media, and promotional activities
• Analyze your User Content using AI and machine learning technologies (e.g., photo analysis, route optimization)
• Create aggregated, anonymized data from User Content for research and improvement
• Store and back up User Content on our servers and cloud infrastructure

5.3 Responsibility for User Content

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:

• You own or have the necessary rights to submit the User Content
• Your User Content does not violate these Terms or any applicable laws
• Your User Content does not infringe any third-party rights
• You have obtained all necessary permissions, releases, and consents for photos depicting identifiable individuals

5.4 Content Moderation

We reserve the right, but have no obligation, to monitor, review, remove, or modify User Content at any time for any reason, including if we believe it violates these Terms or is otherwise objectionable. We are not responsible for User Content posted by others.

5.5 Ownership of Platform

The Services, including all software, algorithms, designs, text, graphics, logos, and other content (excluding User Content), are owned by epicride.ai or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

6. NAVIGATION, WEATHER, AND ROUTE SERVICES

6.1 No Guarantee of Accuracy

Navigation instructions, route recommendations, and weather forecasts are provided for informational purposes only. WE DO NOT GUARANTEE the accuracy, reliability, completeness, or timeliness of any information provided through the Services.

Weather conditions, road conditions, traffic patterns, and other factors can change rapidly and without warning.

6.2 User Responsibility

You acknowledge and agree that:

• You are responsible for verifying all route and weather information before riding
• You must use your own judgment and experience when making riding decisions
• You should consult multiple sources of weather and route information
• You must obey all traffic laws, road signs, and signals regardless of app instructions
• You should not rely solely on the app for navigation in unfamiliar or hazardous areas

6.3 Third-Party Data

Weather data, mapping information, and other data are provided by third-party services (including but not limited to Google Maps, weather APIs, and traffic data providers). We are not responsible for errors, inaccuracies, or failures in third-party data.

6.4 Emergency Contacts

If you provide emergency contact information, you consent to us sharing this information with emergency services, medical personnel, or authorities in the event we have a reasonable belief that you are in danger or require assistance. We are not obligated to contact emergency services on your behalf and should not be relied upon for emergency assistance.

7. MARKETPLACE

7.1 Platform Only

The marketplace feature allows users to list and discover motorcycles, parts, and gear. epicride.ai is a platform only and is NOT a party to any transactions between buyers and sellers. We do not:

• Own, sell, or resell any items listed on the marketplace
• Verify the accuracy of listings or the identity of sellers
• Guarantee the quality, safety, legality, or authenticity of listed items
• Process payments or handle shipping/delivery
• Mediate disputes between buyers and sellers

7.2 Seller Obligations

If you list items for sale, you agree to:

• Provide accurate, truthful, and complete information about items
• Use genuine photos that accurately represent the item's current condition
• Disclose all material defects, damage, or issues
• Have legal ownership and the right to sell the item
• Comply with all applicable laws, including consumer protection and product safety regulations
• Honor your listings and communicate promptly with interested buyers

7.3 Buyer Responsibilities

If you purchase items through the marketplace, you agree to:

• Inspect items thoroughly before completing any transaction
• Verify the seller's identity and legitimacy
• Meet in safe, public locations for in-person transactions
• Use secure payment methods and avoid sending money to unknown parties
• Comply with all applicable laws regarding vehicle registration, titling, and taxes

7.4 AI Photo Analysis

We may use artificial intelligence to analyze listing photos for categorization, verification, and fraud detection. This AI analysis is not a guarantee of accuracy or authenticity. Buyers should conduct their own due diligence.

7.5 Disclaimer of Liability

WE ARE NOT RESPONSIBLE FOR:

• Fraudulent, inaccurate, or misleading listings
• Non-delivery of items or failure to complete transactions
• Defective, unsafe, or illegal items sold through the marketplace
• Disputes between buyers and sellers
• Loss, damage, or theft occurring during transactions
• Any claims arising from marketplace transactions

8. GROUP RIDES

8.1 Group Ride Features

The Services allow users to organize and participate in group rides. epicride.ai does not organize, sponsor, or supervise group rides. Group rides are organized by users independently.

8.2 Organizer Responsibilities

If you organize a group ride, you are responsible for:

• Planning safe routes appropriate for the group's skill level
• Communicating ride details, meeting points, and safety requirements
• Ensuring participants are properly licensed and equipped
• Conducting the ride in a safe and lawful manner
• Complying with all applicable laws and obtaining necessary permits

8.3 Participant Responsibilities

If you join a group ride, you agree to:

• Assess whether the ride is suitable for your skill level and motorcycle
• Bring appropriate safety equipment and ensure your motorcycle is roadworthy
• Follow the organizer's instructions and ride safely
• Respect other riders and road users

8.4 Position Sharing

When participating in a group ride, your real-time GPS location may be shared with other group members. You can leave a group ride at any time to stop sharing your location.

9. BIOMETRIC DATA AND HEALTH INFORMATION

9.1 Optional Wearable Integration

The Services offer an optional premium feature to connect wearable fitness devices (such as Oura Ring, Fitbit, or Whoop) to receive personalized ride timing recommendations based on your biometric data. This feature is entirely optional. You are NOT required to connect a wearable device to use epicride.ai.

9.2 Consent to Health Data Collection

By connecting a wearable device, you explicitly consent to our collection, storage, and processing of the following health and biometric data:

• Readiness and Recovery Metrics: Daily readiness scores, sleep quality scores, activity scores, recovery scores
• Sleep Data: Total sleep duration, deep sleep duration, REM sleep duration, light sleep duration, sleep efficiency, sleep latency, awake time
• Cardiovascular Data: Resting heart rate, heart rate variability (HRV), heart rate trends
• Body Metrics: Body temperature deviation, respiratory rate
• Activity Data: Steps, calories burned, active calories, activity duration, exercise intensity
• Metadata: Sync timestamps, data quality indicators, device information

9.3 Purpose and Use of Biometric Data

We use your biometric data exclusively for the following purposes:

• Recommend optimal ride timing based on your recovery state and readiness levels
• Provide safety warnings when your readiness is below recommended thresholds
• Display biometric context in your ride history and analytics
• Learn personalized patterns over time (e.g., "you perform best in morning rides")
• Track recovery after rides to optimize future planning
• Generate aggregated, anonymized statistics for platform improvement (no personal identification)

9.4 Biometric Data is NOT Medical Advice

9.5 Your Control Over Biometric Data

You have complete control over your biometric data:

• Opt-In Only: Biometric features are disabled by default. You must explicitly connect a wearable to enable them.
• Disconnect Anytime: You can disconnect your wearable device at any time from your Garage → Personal Info settings.
• Data Deletion: Upon disconnection, you may request deletion of all stored biometric data. We will comply within 30 days.
• Pause Syncing: You can pause data syncing without disconnecting your device.
• Export Your Data: You can request a complete export of your biometric data in machine-readable format.

9.6 Biometric Data Security

We implement industry-standard security measures to protect your biometric data:

• Encryption: All biometric data is encrypted at rest using AES-256 encryption and in transit using TLS 1.3+
• OAuth Tokens: Wearable device OAuth tokens are encrypted using AES-256-GCM before storage
• Access Controls: Strict access controls limit who can view health data (only you and authorized system processes)
• No Third-Party Sharing: We NEVER share your biometric data with third parties except:
  • The wearable provider (Oura, Fitbit, etc.) for data syncing
  • As required by law or valid legal process
  • With your explicit consent for specific purposes
• No Advertising Use: Your biometric data is NEVER used for advertising or sold to data brokers

9.7 Data Retention

Biometric data retention policies:

• Daily Readiness Data: Retained for analytical and ML purposes (to learn your patterns). You can request deletion anytime.
• Real-Time Snapshots: If collected during rides (future feature), automatically deleted after 90 days
• Aggregated Data: Anonymized, non-identifiable aggregate statistics may be retained indefinitely for research
• After Deletion Request: All personal biometric data deleted within 30 days (backups purged within 90 days)

9.8 Compliance

Our biometric data handling complies with applicable regulations including:

• Swiss Federal Act on Data Protection (nFADP): As a Switzerland-based company, we comply with Swiss data protection laws
• EU GDPR: For users in the European Union, we comply with GDPR requirements for health data processing
• HIPAA Considerations: While we are not a covered entity under HIPAA, we implement HIPAA-aligned security practices
• CCPA: For California residents, biometric data rights under California law are honored

9.9 Limitations and Accuracy

You acknowledge and agree that:

• Wearable device data may be incomplete, delayed, or inaccurate due to technical limitations
• Sync failures, device errors, or API outages may result in missing or stale data
• Readiness scores are algorithmic estimations, not medical measurements
• We do not guarantee the accuracy, completeness, or reliability of any biometric data or insights
• You should not make critical health or safety decisions based solely on app recommendations

10. ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING

10.1 AI-Powered Features

The Services use artificial intelligence and machine learning technologies to provide enhanced features, including but not limited to:

• Route Generation: AI-powered scenic route discovery and waypoint optimization
• Ride Briefings: Natural language summaries of route conditions, weather, and key information
• Timing Optimization: ML-based recommendations for optimal departure times
• Photo Analysis: AI verification and categorization of marketplace listing photos
• Personalized Insights: ML-driven pattern recognition from your riding history and biometric data
• Weather Predictions: Enhanced forecasting using ML models
• Risk Assessment: AI-powered analysis of route safety based on weather, road conditions, and user preferences

10.2 AI Limitations and Disclaimers

10.3 Machine Learning from Your Data

With your consent, we use machine learning to analyze your riding patterns, preferences, and biometric data to provide personalized recommendations. This includes:

• Learning your preferred riding styles, times of day, and route types
• Identifying correlations between your readiness levels and ride performance
• Adapting risk thresholds based on your historical comfort levels
• Predicting your recovery patterns after different ride intensities

All ML models are trained on your data privately. Your personal patterns are NOT shared with other users. Aggregated, anonymized insights may be used to improve the platform for all users.

11. THIRD-PARTY INTEGRATIONS

11.1 Connected Services

The Services integrate with various third-party platforms and services, including:

• Wearable Devices: Oura Ring, Fitbit, Whoop, Garmin (for biometric data)
• Mapping and Navigation: Google Maps, Apple Maps, Waze (for turn-by-turn navigation)
• Weather Services: Various weather data providers
• Social Authentication: OAuth providers for account creation

11.2 Third-Party Terms

When you connect third-party services, you are subject to those services' own terms of service and privacy policies. We are not responsible for the practices, content, or data handling of third-party services.

11.3 Data Sharing with Third Parties

We share data with connected third-party services only as necessary to provide the integration:

• Wearable Providers: We exchange OAuth tokens to sync biometric data. No other data is shared.
• Navigation Apps: We send route waypoints to open navigation apps. No personal data beyond the route is shared.

11.4 Disconnection

You can disconnect any third-party integration at any time from your account settings. Disconnecting will:

• Revoke our access to the third-party service
• Stop syncing new data from that service
• Optionally allow you to delete previously synced data (depending on the integration)

12. DISCLAIMERS AND LIMITATIONS OF LIABILITY

12.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any information
• Warranties that defects will be corrected or that the Services are free of viruses or harmful components

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
  • Your use or inability to use the Services
  • Any conduct or content of any third party on the Services
  • Unauthorized access, use, or alteration of your transmissions or content
  • Accidents, injuries, or property damage resulting from use of navigation or weather features
• OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED CHF 100 (ONE HUNDRED SWISS FRANCS) OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

12.3 Limitations Under Swiss Law

The above limitations may not apply to the extent prohibited by Swiss law. We cannot exclude or limit liability for:

• Death or personal injury caused by our gross negligence or willful misconduct
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded or limited under applicable Swiss consumer protection laws

12.4 Basis of the Bargain

You acknowledge that we have set our prices and entered into these Terms in reliance upon the disclaimers and limitations of liability set forth herein, and that the same form an essential basis of the bargain between you and us.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless epicride.ai, its affiliates, and their respective officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services or violation of these Terms
• Your User Content or violation of third-party rights
• Accidents, injuries, or damages occurring during rides planned or navigated using the Services
• Your participation in or organization of group rides
• Marketplace transactions you engage in as a buyer or seller
• Your violation of any applicable laws or regulations
• Your connection of wearable devices and use of biometric features
• Any health-related decisions made based on app recommendations or biometric insights
• Claims arising from your reliance on AI-generated content or recommendations

This indemnification obligation will survive termination of these Terms and your use of the Services.

14. DATA PROTECTION AND PRIVACY

14.1 Privacy Policy

Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

14.2 Swiss Data Protection Compliance

We comply with the Swiss Federal Act on Data Protection (nFADP) and, where applicable, the EU General Data Protection Regulation (GDPR). You have rights regarding your personal data as described in our Privacy Policy.

14.3 Location Data

By using navigation and route planning features, you consent to our collection, use, and storage of your location data as described in the Privacy Policy. You can control location permissions through your device settings.

15. THIRD-PARTY SERVICES AND LINKS

15.1 Integration with Third-Party Services

The Services integrate with third-party services including Google Maps Platform, Google Gemini AI, and weather data providers, and may integrate with additional services in the future. Your use of these third-party services is governed by their respective terms of service and privacy policies.

15.2 No Endorsement

We do not endorse, warrant, or assume responsibility for any third-party services, products, or content. Links to third-party websites or services are provided for convenience only.

15.3 Third-Party Disputes

Any disputes arising from your use of third-party services are solely between you and the third party. We are not liable for any damages or losses caused by third-party services.

16. MODIFICATIONS TO SERVICES AND TERMS

16.1 Changes to Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

16.2 Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by:

• Updating the "Effective Date" at the top of these Terms
• Displaying a prominent notice within the app or on our website
• Sending an email to the address associated with your Account (for material changes)

Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

17. TERMINATION

17.1 Termination by You

You may terminate your Account at any time through the Settings interface. Upon termination, you will have a 30-day grace period to recover your Account. After 30 days, your Account and associated data will be permanently deleted.

17.2 Termination by Us

We may suspend or terminate your Account or access to the Services immediately, without prior notice or liability, for any reason, including if:

• You breach these Terms or our policies
• We are required to do so by law or legal authority
• We believe your actions may cause legal liability or harm to us or other users
• You engage in fraudulent, abusive, or illegal activities
• We decide to discontinue the Services

17.3 Effect of Termination

Upon termination of your Account:

• Your right to use the Services will immediately cease
• Your User Content may be deleted (except as required by law or our retention policies)
• You remain liable for any obligations incurred prior to termination
• Provisions that by their nature should survive termination will survive (including liability limitations, indemnification, and dispute resolution)

18. GOVERNING LAW AND DISPUTE RESOLUTION

18.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of Switzerland and the Canton of Vaud, without regard to its conflict of law provisions.

18.2 Jurisdiction

Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Canton of Vaud, Switzerland. However, we retain the right to bring proceedings in the courts of your country of residence if you breach these Terms.

18.3 Consumer Rights

If you are a consumer residing in Switzerland or the European Union, you may have additional rights under applicable consumer protection laws that cannot be waived by these Terms. Nothing in these Terms affects your statutory rights as a consumer.

18.4 Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact us at founder@epicride.ai to seek an informal resolution of any dispute.

19. GENERAL PROVISIONS

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and epicride.ai regarding the Services and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

19.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of epicride.ai.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.

19.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or disruptions to internet or telecommunications infrastructure.

19.6 Language

These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail to the extent permitted by applicable law.
